1. Introduction and Acceptance
now.gg, Inc., doing business as BlueStacks, 2105 S. Bascom Avenue, #380, Campbell, California 95008, USA ("BlueStacks" or "Sponsor") operates the BlueAI Creators Job Program (the "Program") within the BlueAI application and related services. The Program begins at 12:00:00 a.m. Pacific Time on the date these Terms are first posted within BlueAI and continues until modified, suspended, or ended by BlueStacks in accordance with Section 12 (the "Program Period"). Pacific Time controls for all purposes of the Program, and Sponsor's systems are the official clock for the Program. The Program is void where prohibited or restricted by law.
As a condition of participating in the Program, you agree to be fully and unconditionally bound by these Terms and Conditions (these "Terms"), the BlueStacks Terms of Service, the BlueStacks Privacy Policy, and the decisions of Sponsor, whose decisions are final and binding in all respects. You agree to waive any right to claim ambiguity in the Program, these Terms, or any Program materials. If these Terms conflict with the BlueStacks Terms of Service with respect to the Program, these Terms control for the Program only. Receiving any Reward (as defined below) is contingent upon fulfilling all requirements set forth herein.
2. Definitions
- "BlueAI" means Sponsor's desktop application and related services through which AI agents perform automated tasks on a user's device.
- "Job" means a task campaign published through the Program by Sponsor or an approved job creator, consisting of instructions to be carried out by a Worker's BlueAI agent, together with any verification requirements, reward amount, participant limit, start time, and deadline stated on the Job listing.
- "Worker" or "you" means a registered user who is assigned, applies for, or accepts a Job under the Program.
- "Reward" means the amount stated on the applicable Job listing that a Worker is eligible to receive upon verified completion of that Job, net of any applicable Program service fee, denominated in United States Dollars (USD) and credited to the Worker's Program wallet.
- "Wallet" means the Program balance associated with your account, from which amounts may be redeemed as described in Section 6.
3. Program Overview
Under the Program, Sponsor or approved job creators publish Jobs within BlueAI. Eligible Workers may be offered, may apply for, or may be assigned Jobs. A Worker who accepts a Job authorizes their BlueAI agent to perform the Job's instructions on the Worker's device within the Job's stated time window. Upon completion of a Job that is verified in accordance with Section 8, the Worker becomes eligible to receive the Reward stated on the Job listing, subject to these Terms.
Each Job may specify a maximum number of Workers who can earn a Reward for that Job. Workers who complete and verify a Job, as solely determined by Sponsor, are eligible for the Reward until the maximum number of rewarded completions for that Job is reached. Sponsor does not guarantee that any Worker will be offered, assigned, or able to complete any Job, or that any minimum number of Jobs will be available at any time.
4. Eligibility
The Program is open only to registered users of BlueAI and now.gg who are:
- at least eighteen (18) years of age, or the age of majority in their jurisdiction of residence, whichever is greater, at the time of entry;
- a legal resident of a country where the Program is offered, as listed on the Program page within BlueAI (currently: the United States of America); Sponsor may add or remove supported countries at any time, and availability in additional countries will be reflected on the Program page;
- not a person barred from participating in the Program under the laws of the United States or their country of residence, and not located in, or a resident of, any country or region subject to comprehensive U.S. sanctions or embargoes;
- the holder of a valid PayPal account to receive payments, if and when redemption is requested;
- the holder of a valid email address and mobile phone number;
- residing in a region where PayPal services are available;
- submitting only truthful and accurate information to Sponsor; and
- at all times abiding by these Terms.
The Program is void in geographic locations where it is not offered and where otherwise prohibited or restricted by applicable law.
Sponsor may require identity, age, residency, or payment account verification at any time as a condition of continued participation or payment, and may withhold Rewards until verification is completed to Sponsor's satisfaction.
5. Jobs, Assignment, and Acceptance
Assignment. Jobs may be offered or assigned to Workers based on criteria determined by Sponsor in its sole discretion, which may include installed skills, device readiness, region, account standing, and past Job performance. Assignment of a Job is an invitation to perform, not a promise of payment; payment is conditioned on verified completion within the Job's time window and on compliance with these Terms.
Acceptance and declining. A Worker may accept or decline an offered Job before its deadline. A declined or unaccepted Job may be reassigned to other eligible Workers. Accepting a Job constitutes the Worker's agreement to perform that Job in accordance with its instructions and these Terms.
Time windows and inactivity. Each Job specifies a start time and a deadline. Work performed outside the Job's time window is not eligible for a Reward. If a Worker's agent stops reporting progress for longer than the inactivity period set by Sponsor, the assignment may be marked failed and the Job may be reassigned to another Worker, without liability to Sponsor.
Job changes. Sponsor may modify, pause, cancel, or withdraw any Job at any time, including after assignment or acceptance, in which case Sponsor may, in its discretion, credit a partial or consolation amount but is not obligated to do so except for Jobs already completed and verified.
Final decisions. Whether a Job has been completed, whether completion is verified, and whether a Reward is earned is determined solely by Sponsor, and Sponsor's determinations are final and binding.
6. Rewards and Payment
Reward amounts. The Reward for each Job is the amount specified on the Job listing. Sponsor does not currently charge a Program service fee. Sponsor reserves the right to introduce or change a service fee at any time on a prospective basis; if a fee applies, it will be disclosed within the Program, and the amount payable to a Worker will be the listed amount net of that fee. Rewards are credited to the Worker's Wallet upon Sponsor's confirmation of verified completion.
Consolation credits. Sponsor may, in its sole discretion, issue small consolation credits for failed or cancelled assignments. Consolation credits are a courtesy, are not earned compensation, and may be changed or discontinued at any time.
Redemption and timing. Wallet balances may be redeemed through the redemption methods offered within the Program from time to time. Redemption is currently available only as a payment to a valid PayPal account. Sponsor may add, remove, or change redemption methods at any time in its sole discretion, and the methods available to you will be shown within the Program. Payment is made to the account provided by the Worker within ten (10) days following the later of the related verified completion or the Worker's cash-out request. While Sponsor initiates payment within that timeframe, the actual time the Worker receives funds may vary depending on the payment provider's own processing schedules. If a payment does not appear in your provided PayPal account within fourteen (14) days of initiating a cash-out request, contact Sponsor support.
Minimums and caps. Sponsor may set a minimum Wallet balance for redemption; any such minimum will be shown in the Program before you request a cash-out. You may redeem an aggregate maximum of no more than $1,000 USD (or local currency equivalent) in payments or other rewards per calendar year.
Wallet balances are not money. Until redeemed, Wallet credits are a limited, non-transferable, revocable license entry with no cash value, are not deposit obligations, do not earn interest, and may not be sold, exchanged, or transferred to any other person or account. Sponsor may correct Wallet balances that result from error, fraud, or violation of these Terms.
Data dependence. Your ability to receive a Reward may depend on Sponsor's ability to receive completion and verification data from its partners and systems. There may be a technical delay between the time you complete the required steps and when verification data reaches Sponsor, which may cause your Reward to take several days to process.
7. Independent Relationship and Taxes
No employment. Participation in the Program does not create an employment, agency, partnership, joint venture, or franchise relationship between you and Sponsor. You participate as an independent participant, you are free to accept or decline any Job, and you are not entitled to wages, benefits, workers' compensation, unemployment insurance, or any similar entitlement from Sponsor. Rewards are not salary or wages. Nothing in the Program obligates you to accept any Job or obligates Sponsor to offer you any Job.
Taxes. You are solely responsible for determining, reporting, and paying any taxes that apply to amounts you receive under the Program. Sponsor may require you to submit tax documentation (for example, an IRS Form W-9 or W-8 series form) as a condition of payment where required by law, may withhold amounts where required by law, and may report payments to tax authorities where required by law.
8. Verification, Monitoring, and Recording
By participating in the Program, you acknowledge and agree that Sponsor may monitor and record your BlueAI agent's activity in connection with a Job, including on-screen activity, screenshots, agent logs, task steps, usage metrics, and user inputs made in connection with the Job. This data may be used to validate your progress, verify completion, ensure compliance with the requirements necessary to receive a Reward, detect fraud, and improve the Services.
Jobs may specify verification requirements, including capturing screenshots or other evidence of completion. Failure to satisfy a Job's verification requirements, as determined solely by Sponsor, means the Job is not complete and no Reward is earned, regardless of the effort or resources expended.
9. AI Agent Acknowledgments
- Your device, your supervision. Jobs are executed by an AI agent running on your device. You are responsible for your device, operating environment, internet connectivity, and any costs of operating them. You should supervise agent activity and may stop the agent at any time; stopping an agent before completion forfeits the Reward for that Job.
- AI behavior. AI agents are probabilistic systems and may act in unexpected ways, fail to complete tasks, or produce inaccurate output. Sponsor does not warrant that any agent will complete any Job or behave in any particular manner.
- Your accounts on third-party services. Some Jobs may involve actions on third-party platforms or services using your accounts. You are solely responsible for ensuring that your participation in any Job complies with the terms of service of any third-party platform involved, and you accept the risk of any action such platform may take with respect to your account. Sponsor does not control third-party platforms and takes no responsibility for them. You must not accept a Job that you cannot perform lawfully and in compliance with applicable third-party terms.
- Lawful tasks only. Sponsor intends all Jobs to be lawful. If you believe a Job's instructions are unlawful, deceptive, or unsafe, do not perform it and report it to Sponsor support.
10. Rules of Conduct
You are required to comply with applicable laws at all times when using the Services. In particular, the following restrictions apply to your use of the Program. You are not allowed to:
- create or use more than one account to interact with the Program for your entire lifetime, unless Sponsor makes an exception for certain parts of the Services;
- transfer or sell a user account, Wallet balance, or Job assignment to third parties;
- allow your account to be used by or on behalf of any third party, or allow any other person access to your account;
- access your account for any purpose other than personal use;
- use a virtual private network ("VPN"), proxy, cloud instance (for example, AWS, Azure), or any other service that uses a datacenter, or any other means to obscure the true source of traffic or your location when using the Services;
- make use of any means to circumvent, falsify, or manipulate the proper functioning of the Program, including but not limited to: (a) tampering with, spoofing, or fabricating agent progress reports, screenshots, logs, or other verification evidence; (b) using any bot, script, or automation tool other than the BlueAI agent operating as intended by Sponsor; (c) modifying the BlueAI agent, its outputs, or its communications with Sponsor's systems; or (d) claiming completion of work that was not actually performed;
- use disposable, single-use, or temporary identification such as phone numbers or email addresses;
- engage in fraudulent or synthetic activity, collude with other Workers to manipulate Job outcomes, or interfere with any other Worker's participation; or
- perform any Job in a manner that violates applicable law or the rights of any third party.
11. Intellectual Property and Work Product
As between you and Sponsor, all content, data, screenshots, logs, outputs, and other materials generated by or through your BlueAI agent in the course of performing a Job ("Work Product") are and shall be owned by Sponsor or, where the Job listing so states, the applicable job creator. To the extent any right, title, or interest in Work Product does not vest in Sponsor automatically, you hereby grant Sponsor a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable, perpetual, and irrevocable license to use, reproduce, modify, distribute, display, and create derivative works of such Work Product for any purpose, including for training and improving machine learning and artificial intelligence models, consistent with the BlueStacks Terms of Service.
You represent and warrant that your participation in the Program and the Work Product will not infringe or misappropriate the intellectual property, privacy, or other rights of any third party.
12. Program Changes, Suspension, and Termination
Sponsor may end the Program at any time. BlueStacks reserves the right, in its sole and absolute discretion, to modify, suspend, extend, or terminate the Program, in whole or in part, at any time, for any reason or for no reason, with or without prior notice, and without liability to you. BlueStacks may likewise change these Terms, Reward amounts, service fees, redemption methods, eligibility criteria, and the availability of Jobs at any time, with changes applying prospectively from the time they are posted.
Effect of termination. If the Program is suspended or terminated: (i) Jobs that were completed and verified before the effective time of termination remain eligible for their Rewards; (ii) in-progress or unverified Jobs may be cancelled without payment, except that Sponsor may in its discretion issue partial or consolation credits; and (iii) Workers will be given 30 days from the notice of termination to redeem eligible Wallet balances, after which unredeemed balances may be forfeited to the extent permitted by applicable law.
Force majeure. Without limiting the foregoing, if Sponsor is prevented from continuing the Program as contemplated herein by any event beyond its control, including but not limited to fire, flood, epidemic or other national health emergency, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, public health crisis, or other cause not reasonably within its control, then Sponsor has the right to modify, suspend, extend, or terminate the Program.
13. Disqualification
Sponsor reserves the right in its sole and absolute discretion to disqualify any individual, withhold or reverse Rewards, and suspend or terminate any account, where the individual is found to be (i) acting in violation of these Terms; (ii) otherwise acting in violation of the BlueStacks Terms of Service; or (iii) operating in violation of the Rules of Conduct in Section 10.
Any attempt by any person to deliberately undermine the legitimate operation of the Program may be in violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek civil and/or criminal prosecution and damages (including attorneys' fees) from any such person to the fullest extent permitted by law.
14. General Conditions and Release
By participating in the Program, you agree to be bound by all terms of these Terms and to release, hold harmless, covenant not to sue, and forever discharge Sponsor and its parents, subsidiaries, affiliates, officers, directors, employees, and agents (the "Released Parties") from, against, and as to any and all third-party claims, actions, damages, losses, liabilities, costs, expenses, injuries, or causes of action of any kind that in any way now or hereinafter may arise from or relate to the Program, including without limitation, in connection with (i) the administration of the Program, including without limitation typographical, printing, seeding, or technical malfunctions with Sponsor's site or app or any third-party provider, or other errors (human or otherwise) relating to or in connection with the Program, or (ii) any delays in delivery of any payment. Under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Some jurisdictions do not allow the limitations or exclusion of liability for punitive, incidental, or consequential damages, in which case the liability of the Released Parties will be limited to the maximum extent permitted by law.
15. Disclaimers and Limitation of Liability
In providing its Services, Sponsor may make available Jobs relating to apps, games, or services developed by third-party partners. Sponsor does not control or take responsibility for such third-party apps, games, or services, their operation, or the content and features provided through them. The privacy practices and terms of use that govern your use of and access to third-party services are solely between you and the applicable provider. It is your responsibility to read and comply with all terms and policies set by such providers.
To the maximum extent permitted by law, the Program is provided "as is" and "as available," and the Released Parties will not be liable, and are not responsible, for damages of any kind related to your preparation for, participation in, or inability to participate in the Program, whether the damages are direct, indirect, incidental, punitive, exemplary, special, or consequential.
16. Privacy
Information collected in connection with the Program, including the monitoring and verification data described in Section 8 and any payment account information, is processed in accordance with the BlueStacks Privacy Policy. By participating, you consent to that collection and processing, including transfer to the United States.
17. Disputes, Governing Law, and Jurisdiction
You agree that any and all disputes, claims, and causes of action arising out of or connected with the Program, these Terms, or any Reward shall be resolved individually, without resort to any form of class action, and will be governed by and construed under the laws of the State of California, in Santa Clara County, California, in English, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") as set forth in the Arbitration provision in Sponsor's Terms of Service.
18. Miscellaneous
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver. Sponsor's failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.
Assignment. You may not assign these Terms or any rights under the Program. Sponsor may assign these Terms without restriction.
Survival. Sections 7, 8, 11, 13, 14, 15, 16, 17, and this Section 18 survive any termination of the Program or your participation in it.
